Company Limited by guarantee Vs Private Members Club ?

Hi All
As an open question I would be interested in members views as to the preferred organisational structure for development of a not-for profit public passenger carrying seven and a quarter gauge railway please.
I am aware that both approaches are taken within the UK, but would like to understand the pro's and con's of each from a practical perspective please ?
Ultimately I would like to avoid being homeless or imprisoned as a result of any unfortunate occurrence to a member of the public through whichever route I might select.

I seem to remember this topic coming up in relation to my Industry's regional arm of which I was Chairman at the time. We opted for being a company to protect ourselves and the membership, a very long shot but just in case it ever happened in our increasingly litigious society
